Independent Contractor Agreement

INDEPENDENT CONTRACTOR AGREEMENT

This agreement ("Agreement") is entered into on [TODAY'S DATE], by and between The 108 Group, LLC, a California Limited Liability Company (the "Company"), and [CONTRACTOR NAME], located at [CONTRACTOR MAILING ADDRESS], (herein referred to as Contractor).

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties hereby agree as follows:

1. From time to time, Contractor shall perform various marketing-related services, including but not limited to the content and/or web development & management services (the "Services") for the Company (or its designee), and the Company agrees to pay Contractor the compensation as mutually agreed at that time for Contractor’s performance of the Services.
2. Contractor agrees that to the extent that Contractor provided any services or made efforts on behalf of or for the benefit of Company prior to entering to this Agreement, that would have been “Services” if performed during the term of this Agreement (the “Prior Consulting Period”), and this Agreement shall apply to such activities, and to information and work product as if disclosed, conceived, created, authored, invented, developed or reduced to practice during the term of this Agreement. Contractor further acknowledges that Contractor has been fully compensated for all services provided during any such Prior Consulting Period.
3. Contractor grants Permission to Company to deal in the work product and associated documentation files produced by Contractor for Company or incorporated into the work product provided to Company as part of its Services (the “Work Product”) without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Work Product, and to permit persons to whom the Work Product is furnished to do so. This Permission shall survive the termination of this agreement.
4. Contractor is responsible for any and all taxes that may be levied against Contractor compensation, including but not limited to income taxes, social security taxes and any self-employment taxes.
5. Contractor is not an employee or agent of Company and has no authority to make any binding commitments or obligations on behalf of Company except to the extent expressly provided herein.
6. Contractor agrees to provide its own tools and equipment for service.
7. This Agreement is not transferable or assignable by Contractor in whole or in part without the prior written consent of Company.
8. Contractor agrees this is an at will relationship, cancelable at any time by either party with 30 days notice.

This Agreement shall be governed and construed in accordance with the laws of California. Any modification of this Agreement will be effective only if it is in writing and signed by both parties
